Welcome to Maxim Liberty. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” or “you”) and Maxim Liberty, LLC (“Maxim Liberty,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, our software integrations, and our outsourced bookkeeping services.

By accessing our website, engaging our services, or authorizing our application to connect with your third-party accounting software, you agree to be bound by these Terms.

1. Scope of Services

Maxim Liberty provides remote, outsourced bookkeeping services. While these public Terms govern your general use of our website and software integrations, the specific scope of your bookkeeping services, hourly rates, and deliverables will be governed by a separate, customized Client Services Agreement (or Engagement Letter) signed prior to the commencement of work.

No CPA or Tax Services: Maxim Liberty acts as an independent bookkeeping contractor. We do not provide certified public accounting (CPA) audits, formal tax advice, or legal advice. You remain solely responsible for the final review, accuracy, and filing of your financial statements and tax returns.

2. QuickBooks & Third-Party Software Integration

To facilitate our bookkeeping services, you may authorize Maxim Liberty to connect to your third-party accounting software, such as Intuit QuickBooks Online.

• Authorization: By authenticating this connection, you grant Maxim Liberty permission to access, read, write, modify, and process your financial data strictly for the purpose of performing the agreed-upon bookkeeping services.
• Intuit Disclaimer: Maxim Liberty is an independent company. Our services and software integrations are not endorsed, sponsored, or affiliated with Intuit Inc. Intuit is not responsible for the functionality of our integration or the services we provide.
• Revocation: You retain complete ownership and control of your data. You may revoke our API or user access to your QuickBooks account at any time directly through your Intuit account settings.

3. Security and Offshore Processing

Maxim Liberty, LLC is a legal entity headquartered in the United States (San Juan, Puerto Rico). However, you acknowledge and agree that the day-to-day execution of bookkeeping tasks is performed by our highly trained staff operating from our secure, monitored delivery centers in India. All offshore operations are strictly governed by our Privacy Policy and legally binding Non-Disclosure Agreements (NDAs) to ensure the confidentiality and security of your financial data.

4. Fees, Retainers, and Guarantees

Our billing structure operates on a prepaid retainer model based on hours worked. You agree to pay for the services in accordance with the pricing and billing terms outlined in your specific Client Services Agreement.

If you are not completely satisfied during your initial engagement, we will issue a full refund of that first payment upon request. Furthermore, you may cancel our service at any time and receive a prorated refund for any unused hours remaining in your current deposit.

5. Disclaimer of Warranties

OUR WEBSITE, SOFTWARE INTEGRATIONS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. MAXIM LIBERTY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT OUR SOFTWARE INTEGRATIONS WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAXIM LIBERTY, LLC, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, OUR SERVICES OR SOFTWARE INTEGRATIONS.

UNDER NO CIRCUMSTANCES WILL MAXIM LIBERTY’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Termination

We may terminate or suspend your access to our software integrations and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the software integration will immediately cease.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of San Juan, Puerto Rico, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in San Juan, Puerto Rico.
